Terms of Service

Welcome to AmplifyX. By accessing or using our AI-powered X (Twitter) growth platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using AmplifyX ("Service," "Platform," "we," "us," or "our"), you agree to these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you may not use our Service.

We reserve the right to update these Terms at any time. Changes will be effective when posted, with the "Last updated" date revised accordingly. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Service Description

AmplifyX is a SaaS platform that provides:

  • AI Content Generation: Advanced AI to create tweets, threads, and replies based on your persona and niche settings
  • Content Scheduling: Schedule posts for optimal timing and audience reach
  • Engagement Automation: Identify and engage with target accounts using AI-powered replies
  • Analytics Dashboard: Track follower growth, engagement metrics, and content performance
  • Autopilot Mode: Autonomous content generation and posting with configurable rules and approval workflows
  • Multi-Account Management: Manage multiple X accounts from a single dashboard (based on your plan)
  • Team Collaboration: Workspace features for team-based account management

Features and capabilities may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any feature at any time with or without notice.

3. Account Registration and Eligibility

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use AmplifyX. By creating an account, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will provide accurate and complete information during registration
  • You will maintain the accuracy of your account information

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription and Billing

Subscription Plans

AmplifyX offers multiple subscription tiers:

  • Free Plan: Limited features, 1 account, 100 tweets/month
  • Starter Plan: $29/month, 1 account, 500 tweets/month
  • Pro Plan: $79/month, 3 accounts, 5,000 tweets/month
  • Agency Plan: $199/month, 10 accounts, 50,000 tweets/month

Pricing, features, and limits are subject to change. We will notify you at least 30 days before any price increase for existing subscribers.

Billing and Payment

By subscribing to a paid plan, you agree that:

  • Recurring Charges: Subscriptions automatically renew monthly unless canceled
  • Payment Authorization: You authorize us to charge your payment method on each renewal date
  • Payment Processor: Payments are processed by Stripe. We do not store your credit card information
  • Failed Payments: If payment fails, we may suspend or terminate your account after reasonable retry attempts
  • Taxes: Prices do not include applicable taxes. You are responsible for all sales, use, and other taxes

Refund Policy

All subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period, but no refund will be issued for unused time.

Free Trials

We may offer free trials for paid plans. You must provide payment information to start a trial. If you do not cancel before the trial ends, your payment method will be charged for the subscription. Free trials are limited to one per user and cannot be combined with other offers.

5. AI-Generated Content

Content Ownership

You retain all rights to content generated by AmplifyX's AI on your behalf. However, you acknowledge that:

  • AI-generated content may not be unique to you, as similar prompts may produce similar outputs
  • You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing
  • AmplifyX is not liable for the accuracy, quality, or consequences of AI-generated content

Content Responsibility

You are responsible for all content posted to your X account, whether generated by AI or created manually. You agree not to use AmplifyX to generate or post content that:

  • Violates X's Terms of Service or Community Guidelines
  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Infringes on intellectual property rights or privacy rights of others
  • Contains malware, viruses, or other harmful code
  • Impersonates others or misrepresents your affiliation
  • Promotes spam, misinformation, or manipulated media
  • Violates any applicable laws or regulations

AI Limitations

You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or biases
  • AI cannot replace human judgment and editorial oversight
  • You should review all AI-generated content before publishing
  • AmplifyX makes no warranties about the quality or effectiveness of AI-generated content

6. X API Usage and Compliance

AmplifyX uses the X (Twitter) API to provide its services. By using our platform, you agree to:

  • X Terms Compliance: Comply with X's Developer Agreement and Terms of Service
  • API Restrictions: Not exceed X's rate limits or attempt to circumvent API restrictions
  • Automation Rules: Follow X's Automation Rules, including proper disclosure of automated accounts
  • Data Usage: Use X data only as permitted by X's policies

We reserve the right to suspend or terminate your account if your use violates X's policies, which could result in X suspending API access for AmplifyX.

7. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate the intellectual property rights of AmplifyX or third parties
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Use automated scripts, bots, or scrapers to access the Service (other than through our API)
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Sell, resell, or commercially exploit the Service without our written permission
  • Use the Service to transmit spam, malware, or malicious code
  • Impersonate others or create fake accounts
  • Engage in fraudulent, abusive, or manipulative behavior

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

8. Intellectual Property Rights

Our IP

AmplifyX and its original content, features, functionality, and design are owned by AmplifyX Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or software without our prior written consent.

Your IP

You retain ownership of:

  • Your persona and niche configurations
  • Content you create (including AI-generated content you approve)
  • Your X account data

By using our Service, you grant us a limited, non-exclusive, royalty-free license to use your data solely to provide the Service to you. We do not use your content to train AI models or for any purpose other than providing the Service.

Feedback

If you provide feedback, suggestions, or ideas about AmplifyX, you grant us the right to use such feedback without any obligation or compensation to you. We may use your feedback to improve the Service or develop new features.

9. Privacy and Data Protection

Your use of AmplifyX is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Key privacy commitments:

  • We encrypt your X credentials using AES-256-GCM
  • We do not sell your personal information
  • We comply with GDPR, CCPA, and other data protection laws
  • You can export or delete your data at any time

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, AmplifyX disclaims all warranties, including but not limited to:

  • Merchantability: We do not warrant that the Service is suitable for your particular purpose
  • Fitness for Purpose: We do not guarantee specific results or outcomes from using the Service
  • Non-Infringement: We do not warrant that the Service does not infringe third-party rights
  • Accuracy: We do not guarantee the accuracy or reliability of AI-generated content, analytics, or other information
  • Availability: We do not guarantee uninterrupted, timely, secure, or error-free operation
  • Third-Party Services: We are not responsible for third-party services (X API, Stripe, etc.) or their failures

Some jurisdictions do not allow disclaimers of implied warranties, so some of the above disclaimers may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPLIFYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

This includes but is not limited to damages resulting from:

  • Use or inability to use the Service
  • Unauthorized access to your account or data
  • AI-generated content errors, inaccuracies, or consequences
  • X account suspension or bans resulting from use of the Service
  • Third-party services (X API, payment processors, etc.)
  • Service interruptions, errors, or downtime
  • Loss of followers, engagement, or reputation

In no event shall AmplifyX's total liability to you for all damages exceed the amount you paid to AmplifyX in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless AmplifyX, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including X's Terms of Service
  • Content you generate, post, or approve for posting
  • Your breach of any representation or warranty in these Terms

13. Termination

By You

You may cancel your subscription at any time from your account settings. Cancellation is effective at the end of your current billing period. No refunds will be issued for unused time.

By Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms or our policies
  • Violation of X's Terms of Service or Developer Agreement
  • Fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees
  • At our sole discretion for business reasons

Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account data after 30 days (subject to legal retention requirements)
  • You may export your data before deletion using account settings
  • Provisions that by their nature should survive (indemnification, disclaimers, limitations) remain in effect

14. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@amplifyx.ai to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

Binding Arbitration

If informal resolution fails, you agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that:

  • You may assert claims in small claims court if they qualify
  • You or we may seek equitable relief in court for infringement of intellectual property rights

Arbitration Rules

  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • Arbitration will be held in [Your Jurisdiction] or remotely by video conference
  • The arbitrator's decision will be binding and may be entered as a judgment in any court
  • Each party will bear its own arbitration costs, unless the arbitrator rules otherwise

Class Action Waiver

You agree to resolve disputes with us only on an individual basis, and you waive your right to participate in class actions, class arbitrations, or representative actions.

15. General Provisions

Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AmplifyX regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, internet/power failures, or third-party service outages (including X API).

Export Compliance

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export restrictions.
